Article 1 – Definitions
In these Terms & Conditions, the following terms shall have the definitions specified below:
1. Cooling-off period: the period in which the consumer may exercise their right of withdrawal;
2. Consumer: the natural person not acting for purposes wholly or mainly outside their trade, business, craft or profession;
3. Day: calendar day;
4. Continuing performance contract: a distance contract relating to a series of products and/or services, for which the delivery and/or purchase obligation is spread over a longer period;
5. Durable data carrier: any medium – email included - which allows the consumer or the Company to store information addressed personally to them, in a way which is accessible for future consultation and which allows unaltered reproduction of the stored information;
6. Right of withdrawal: the option for consumers to withdraw from the distance contract within the cooling-off period;
7. Standard withdrawal form: the optional model cancellation form set out in Article 6;
8. Company: Kurt Geiger Ltd. (the “Company”);
9. Distance contract: a contract concluded under an organised distance service-provision scheme where the consumer and Company are not both physically present. Any contract in which means of remote communication are used in the context of a system for distance selling of products and/or services set up by the Company, which is concluded only through such means of communication;
10. Means of distance communication: any means which, without the simultaneous physical presence of the supplier and the consumer, may be used for the conclusion of a contract between those parties.
11. General terms and conditions: these Terms of Use.

Article 3 – Scope
1. These Terms of Use apply to offers by the Company and contracts made remotely between the Company and consumers for products and, where offered, services. A consumer is an individual acting for purposes wholly or mainly outside their trade, business, craft or profession.
2. Nothing in these Terms of Use excludes or restricts any consumer right or remedy that cannot lawfully be excluded or restricted, including under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
3. If a provision is unlawful or unenforceable, it will not bind the consumer. The remaining provisions will continue to apply so far as the contract can continue without that provision. An unfair term will not be replaced automatically by a term with a similar effect.
4. These terms must be read fairly and transparently. If a term could have different meanings, the meaning most favourable to the consumer will prevail.
5. The version provided when the consumer places an order applies to that order. Later changes will not apply retrospectively without the consumer’s express agreement, except where required by law.

Article 4 – Offer
1. Website listings invite the consumer to place an order. The Company may update listings before an order is accepted, but may not change an existing contract without the consumer’s express agreement, except where required by law.
2. Products must correspond with their description, sample or model where applicable. Product descriptions, specifications and other pre-contract information required by law form part of the contract and may be changed only by express agreement.
3. Images are illustrative and screen settings may affect the appearance of colours. This does not excuse a material difference between the products supplied and their description or restrict any statutory remedy.
4. Any limits, duration and conditions applying to a promotion will be stated clearly before the consumer orders.

 Article 5 – Contract
1. The consumer places an offer to purchase by completing checkout and selecting the button clearly indicating an obligation to pay. The consumer will have an opportunity to review and correct their order before submitting it.
2. The Company will acknowledge receipt electronically. An acknowledgement is not acceptance. A contract for the relevant products is formed when the Company sends an email confirming their dispatch, or expressly confirms acceptance earlier. Any separate service contract is formed when the Company expressly accepts it.
3. Before acceptance, the Company may refuse an order on reasonable grounds, including unavailability, inability to authorise payment, a genuine pricing error or reasonable suspicion of fraud. It will notify the consumer promptly and refund any payment for an unaccepted order without undue delay. Once accepted, an order is not subject to a general availability condition.
4. The Company will take appropriate technical and organisational measures to protect electronic communications and payments and process personal information in accordance with applicable data protection law. Any checks must be lawful, necessary and proportionate.
5. The Company will provide confirmation of the contract, these terms and the legally required information in an email or other durable medium no later than delivery of the products or before performance of a service begins.

 Article 6 – Right of withdrawal
1. Subject to Article 8, the consumer may exercise their statutory right to cancel an order for products without giving a reason, at any time before delivery and until 14 calendar days after the day on which the consumer, or a person nominated by them other than the carrier, receives the products. For a single order delivered separately, the period runs from receipt of the last product, lot or piece; for regular delivery of products over a defined period, it runs from receipt of the first product. Any statutory extension where required cancellation information has not been supplied remains applicable. Separately, the Company’s Delivery and Returns policy permits returns of unworn full-price products within 30 days of purchase and unworn, unused sale products within 14 days of purchase, subject to paragraph 7. These additional periods do not shorten the statutory cancellation period.
2. To cancel, the consumer must send a clear statement of their decision to the Company at the postal or email address in Article 2 before the period expires. They may use the model cancellation form below, but need not do so. The Company will acknowledge an electronic cancellation on a durable medium without delay.
3. The consumer must send the products back to the return address provided by the Company without undue delay and no later than 14 days after notifying cancellation, unless the Company offers to collect them. The consumer should retain evidence of return; no particular form of evidence is mandatory.
4. The consumer may handle products as necessary to establish their nature, characteristics and functioning, as they could in a shop. Only diminished value resulting from handling beyond this may be deducted, and no deduction may be made where the legally required cancellation information was not supplied. Original packaging is requested where reasonably possible but is not a condition of the statutory cancellation right.
5. For any separately supplied service, the statutory cancellation period ends 14 days after the day the contract is concluded. Performance during that period requires the consumer’s express request. A proportionate charge for services supplied before cancellation is payable only where the legal information and consent requirements have been met. The right is lost on full performance only with the consumer’s prior express consent and acknowledgement of that consequence.
6. Cancellation under this Article is separate from remedies for faulty or misdescribed products under Article 10.
7. For returns made solely under the Delivery and Returns policy, products must be unworn, unused and in saleable condition, with original packaging, barcodes and tags intact and undamaged; shoes must be returned in their original, undamaged box. Online exchanges are not offered. Under that policy, earrings and hair accessories are returnable only if faulty, and unsuitable ‘One of a Kind’ bags are eligible for a credit note only and must be returned to the warehouse, not a store. None of these additional policy conditions limits statutory cancellation rights, the requirement for a monetary refund where legally due, or remedies for non-conforming products. Article 8 governs exceptions to statutory cancellation.

 Article 7 – Costs of withdrawal
1. For change-of-mind returns, the consumer bears the direct return shipping costs, provided this obligation was disclosed before the contract was made. UK online returns booked through the Company’s returns portal cost £3.95 per parcel, payable on booking; each additional parcel incurs a separate charge. Eligible online purchases may instead be returned free of charge to a standalone Kurt Geiger store, excluding outlets and concessions; the special warehouse-only arrangements for ‘One of a Kind’ bags in Article 6 apply. Statutory cancellation is not conditional on use of the portal. The Company bears reasonable return costs for faulty or otherwise non-conforming products and any costs which the law requires it to bear.
2. On statutory cancellation, the Company will refund payments received for the cancelled products, including the outward delivery charge where the whole order is cancelled, except for the additional cost of a delivery option chosen above the least expensive standard delivery offered. For a partial cancellation, any delivery charge attributable solely to the returned products will be refunded. Returns made solely under the Delivery and Returns policy qualify for a refund of the product price, subject to the credit-note exception in Article 6, but not the original delivery charge unless the Company agrees otherwise.
3. Refunds following statutory cancellation will be made without undue delay and no later than 14 days after the Company is informed of cancellation. Unless it has offered to collect the products, the Company may withhold reimbursement until it receives them back or the consumer supplies evidence of having sent them back, whichever is earlier; reimbursement must then be made without undue delay and no later than 14 days after that earlier event. For returns made solely under the Delivery and Returns policy, the Company will process the refund within 14 working days after receiving the return. That processing period does not extend any statutory refund deadline.
4. Refunds will use the original payment method unless the consumer expressly agrees otherwise, without a refund fee. Only deductions permitted under Article 6 and applicable law may be made. Refunds for faulty products are governed by Article 10 and applicable law.

Article 8 – Exclusion of the right of withdrawal
1. The change-of-mind cancellation right does not apply to products made to the consumer’s specifications or clearly personalised; products liable to deteriorate or expire rapidly; sealed products genuinely unsuitable for return for health protection or hygiene reasons once unsealed after delivery; or products that become inseparably mixed with other items after delivery. An exception applies only where its statutory conditions are met, and the Company will explain any applicable exception before the order is placed.
2. Selecting a standard size or colour does not, by itself, make a product personalised. Products cannot be excluded merely because they are on sale, their packaging has been opened or the Company describes them as non-returnable.
3. These exceptions do not affect rights concerning faulty, misdescribed or otherwise non-conforming products.

Article 9 – Price
1. Prices include applicable VAT. Delivery charges and other compulsory charges, or their method of calculation where they cannot reasonably be calculated in advance, will be clearly disclosed before the consumer places the order. Optional extras require the consumer’s express consent.
2. The price agreed when the order is accepted will not be increased unilaterally, including because of currency fluctuations, cost increases or tax changes. Promotional conditions and expiry dates will be stated clearly.
3. If a genuine pricing error is identified before acceptance, the Company will inform the consumer and allow them to choose whether to place an order at the correct price or receive a full refund. Silence will not be treated as acceptance of a revised price. After acceptance, the Company may rely on a pricing mistake only to the extent permitted by law; this clause is not a general right to cancel accepted orders or exclude liability.
4. Where delivery outside the United Kingdom is offered, the Company will explain before ordering whether the consumer must pay import duties or local taxes and, where reasonably calculable, their amount or otherwise how they may be calculated. No charge will be imposed contrary to applicable consumer law.

 Article 10 – Conformity and warranty
1. The Company warrants that products are of satisfactory quality, fit for their usual purpose and any particular purpose made known to the Company where the consumer reasonably relies on its skill or judgement, and match their description and any applicable sample or model. The Company must have the right to supply them. Any services must be performed with reasonable care and skill.
2. If products do not conform to the contract, the consumer normally has a short-term right to reject them for a full refund within 30 days beginning as prescribed by the Consumer Rights Act 2015. The period may be extended where the consumer requests repair or replacement. The consumer may instead request repair or replacement, subject to the statutory rules on impossibility and disproportionate cost.
4. Repairs or replacements must be provided free of charge, within a reasonable time and without significant inconvenience. Where the statutory conditions are met, including a failed repair or replacement or failure to provide a remedy within a reasonable time and without significant inconvenience, the consumer may obtain a price reduction or exercise the final right to reject. Any deduction for use is permitted only where allowed by law.
5. For the statutory repair, replacement, price reduction and final rejection remedies, a fault appearing within six months of delivery is presumed to have existed at delivery unless the Company proves otherwise or the presumption is incompatible with the nature of the products or fault. Rights may continue after six months; that period is not a product lifespan or a cutoff for claims.
7. The consumer should contact the Company using Article 2 with details of any problem. Nothing in this Article excludes other statutory remedies, including damages where available. The following limitations concern only defects caused by the matters stated and do not restrict statutory rights:

  • Damage caused by a repair or alteration by the consumer or a third party does not make the Company responsible for that damage; unrelated defects and statutory rights remain unaffected.
  • The Company is not responsible for damage caused by misuse, accidental damage or failure to follow reasonable care instructions, or for fair wear and tear; this does not excuse inadequate durability or a defect present at delivery.
  • Compliance with a legal requirement does not, by itself, remove the consumer’s statutory rights or excuse a failure to comply with the contract.

Article 11 – Delivery, risk and title
1. The Company will exercise reasonable care and skill in processing orders. Delivery options, charges and times will be disclosed before the consumer orders. Delivery will be to the agreed address, or by collection where agreed.
2. Unless another delivery time or period is agreed, the Company will deliver without undue delay and in any event no later than 30 days after the contract is made. An estimated delivery date does not remove this obligation or the consumer’s statutory remedies.
3. If the Company refuses to deliver, or delivery within the agreed period is essential in the circumstances or the consumer told the Company before contracting that it was essential, the consumer may end the contract immediately if the Company fails to deliver as required. Otherwise, the consumer may require delivery within an additional period appropriate to the circumstances and end the contract if the Company fails to deliver within that period. Statutory rights to cancel some or all of an order remain unaffected.
4. When a contract is ended for non-delivery, the Company will reimburse all sums due for the cancelled products, including applicable delivery charges, without undue delay. This does not exclude any entitlement to compensation or other remedy under applicable law and Article 16.
5. The Company will notify the consumer promptly of delays or unavailability. It will not substitute products without the consumer’s express agreement. If no substitute is agreed and the original products cannot be supplied, it will refund the relevant payments without undue delay.
6. Risk of loss or damage remains with the Company until the consumer, or a person identified by the consumer other than the carrier, takes physical possession. For collection, risk passes only on physical collection, not on notification that products are ready. If the consumer commissions a carrier not offered by the Company, risk passes when the products are handed to that carrier, without affecting the consumer’s rights against the carrier. These risk rules cannot be varied to the consumer’s disadvantage.
7. Ownership passes when the Company has received full payment for the relevant products and they have been delivered to the consumer, whichever occurs later. Ownership is not conditional on payment of unrelated debts. Retention of ownership does not transfer risk earlier or restrict cancellation, refund or other statutory rights.
8. If delivery fails because the consumer supplied an incorrect address or unreasonably failed to accept an agreed delivery, any redelivery charge must reflect reasonable additional costs actually incurred and have been disclosed before contracting. No charge applies where the Company or its carrier is at fault, and statutory cancellation rights remain unaffected.
9. If an event outside the Company’s reasonable control causes delay, it will inform the consumer promptly and take reasonable steps to minimise the effect. This does not remove the delivery, cancellation or refund rights above or exclude liability that cannot legally be excluded.

Article 12 – Payment
1. The payment methods and time for payment will be stated clearly at checkout before the consumer orders. Unless expressly agreed otherwise, payment must be authorised when the order is placed and received before dispatch. Any separate instalment or credit arrangement will be explained before the consumer agrees to it.
2. The consumer should notify the Company promptly of inaccuracies in payment details. The Company will not impose undisclosed payment charges or charges prohibited by law.
3. If payment fails, the Company will notify the consumer and give a reasonable opportunity to correct it before suspending or cancelling an accepted order, except where immediate action is reasonably necessary to prevent fraud or required by law. The Company may recover only lawful, reasonable and proportionate costs actually incurred because of a payment breach and disclosed before contracting, not a penalty or automatic indemnity. Statutory rights to withhold disputed sums, obtain refunds or pursue other remedies remain unaffected.

 Article 13 – Complaints procedure
1. Complaints may be sent to the Company using the contact details in Article 2. The consumer should describe the issue and provide available order details. No notification deadline in these terms limits statutory rights.
2. The Company will endeavour to respond within 14 days of receipt. If more time is needed, it will acknowledge the complaint within that period and explain when a substantive response can be expected.
3. Remedies will be provided in accordance with applicable law and Article 10; they are not limited to repair or replacement.
4. If the Company cannot resolve a complaint through its internal process, it will provide any information about an appropriate alternative dispute resolution provider, and whether it is obliged or willing to use that provider, required by law at that time. The consumer is not required by these terms to use alternative dispute resolution before bringing court proceedings.
5. Making a complaint does not restrict any statutory right to withhold payment, reject products, cancel a contract, obtain a refund or seek other remedies.

Article 14 - Disputes
1. These terms and contracts governed by them are governed by the law of England and Wales.
2. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Article 15 – Additional provisions or derogations
Additional provisions of or derogations from these Terms of Use may not disadvantage the consumer, and must be established in writing or in such a way that they can be stored on a durable data carrier in an accessible manner by the consumer.

Article 16 – Liability and consumer responsibility
1. If the Company fails to comply with the contract or fails to use reasonable care and skill, it is responsible for loss or damage the consumer suffers that is a foreseeable result of that failure. Loss or damage is foreseeable if it is an obvious consequence or if, when the contract was made, both parties knew it might happen, for example because the consumer discussed it with the Company.
2. The Company supplies products under these terms for domestic and private use. Subject to paragraph 3, it is not liable under these consumer terms for business losses arising from commercial use, including loss of business profit, business interruption or loss of a business opportunity. This does not exclude foreseeable non-business loss or any remedy that cannot lawfully be excluded.
